Terms and Conditions of Use

By accessing, registering, or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

These Terms are entered into between the User and the operator of the Platform ("the Platform"). Upon incorporation of the legal entity operating the Platform, all references to the Platform in these Terms shall be deemed to refer to such legal entity.

1. Definitions

For the purposes of these Terms:

"User" means any individual who accesses, registers, or uses the Application.

"Minor User" means any user who has not reached the legally required age of majority under applicable laws.

"Private Rooms" means restricted digital spaces within the Application designed for educational discussions, lessons, communications, or interactions between selected users.

"Content" means any text, images, videos, audio recordings, documents, educational materials, messages, prompts, submissions, responses, or other information uploaded, shared, transmitted, or generated through the Application.

2. Acceptance and Eligibility

By using the Application, you confirm that you have the legal capacity to enter into these Terms.

Users must provide accurate, complete, and updated information during registration.

Where the User is a Minor User, the User shall provide the email address of a parent or legal guardian for the purpose of sending an informational notice regarding the Minor User's registration and use of the Platform, where required by applicable law. The Platform may provide such notice without representing or guaranteeing that parental consent has been obtained unless such consent is expressly required under applicable law.

Parents or legal guardians remain responsible for supervising a Minor User's use of the Application where required by applicable law.

3. Purpose of the Application

The Application provides an online educational environment designed to facilitate learning, communication, knowledge sharing, educational collaboration, and AI-assisted educational coaching and assessment.

The Application does not guarantee specific educational outcomes, academic results, employment opportunities, competition results, or any particular level of achievement.

4. Use of Private Rooms and User Interaction

Users agree that Private Rooms shall only be used for lawful educational purposes.

Users shall not:

  • Publish or share unlawful, harmful, abusive, defamatory, threatening, or inappropriate content.
  • Engage in harassment, bullying, discrimination, intimidation, or misconduct.
  • Attempt to obtain personal information from other users without authorization.
  • Use the Platform to engage in inappropriate communication with minors.
  • Impersonate another person or entity.
  • Circumvent security measures or interfere with the operation of the Application.

The Platform reserves the right to monitor, restrict, suspend, or remove access to any User who violates these Terms.

5. User Accounts and Security

Users are responsible for maintaining the confidentiality of their account credentials.

Users shall be responsible for all activities conducted through their accounts unless such activities resulted from unauthorized access not caused by the User's negligence.

The Platform shall not be liable for losses arising from a User's failure to protect account information.

6 Data Collection, Processing, and Privacy

By registering and using the Application, the User expressly consents to the collection, processing, storage, and use of personal information necessary for providing, maintaining, improving, securing, and operating the Platform.

Such information may include:

  • Registration details.
  • Profile information.
  • Usage information.
  • Technical information relating to devices and connections.
  • Communications and educational interactions conducted through the Platform.
  • User-generated educational submissions, prompts, responses, and other content submitted for AI-assisted educational features.

The Platform shall process personal data in accordance with applicable laws and regulations of the United Arab Emirates, including applicable data protection requirements.

The Platform may use collected information for:

  • Providing educational services.
  • Improving user experience.
  • Maintaining security.
  • Preventing misuse and violations.
  • Meeting legal and regulatory obligations.
  • Delivering AI-powered educational coaching, feedback, judging, assessment, and related educational services.

The Platform may engage trusted third-party service providers, including OpenAI and other artificial intelligence technology providers, to process User Content solely to the extent necessary to provide AI-powered educational features and related functionality. Such processing is performed only for the purpose of operating, maintaining, improving, and delivering the services requested by the User.

By using AI-powered features of the Platform, the User acknowledges and expressly consents to such processing by those third-party providers as necessary for the operation of the Platform.

7. User-Generated Content and License

Users retain ownership of the Content they create and upload to the Application.

By submitting, uploading, sharing, or generating Content through the Platform, the User grants the Platform a worldwide, non-exclusive, royalty-free license to use, store, reproduce, process, display, transmit, adapt where technically necessary, and distribute such Content solely to the extent required to operate, maintain, improve, secure, and provide the Platform's services.

Such license includes the processing of User Content by trusted third-party technology providers, including artificial intelligence service providers, solely as necessary to operate AI-powered features and functionality of the Platform.

8. Intellectual Property Rights

All intellectual property rights relating to the Application, including but not limited to:

  • Software code.
  • Application design.
  • User interface.
  • Logos.
  • Trademarks.
  • Brand elements.
  • Graphics.
  • Educational materials created by the Platform.
  • Artificial intelligence models, prompts, workflows, configurations, and Platform-generated educational materials.
  • Databases.
  • Systems and technology.

Are owned by or licensed to the Platform and are protected under the applicable intellectual property laws of the United Arab Emirates and other applicable jurisdictions.

No User shall:

  • Copy, reproduce, modify, distribute, sell, license, sublicense, lease, exploit, or create derivative works from any part of the Application without the Platform’s prior written authorization.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover or extract the source code or underlying technology of the Application, except where expressly permitted by applicable law.
  • Use the Platform’s trademarks, branding, educational materials, or other proprietary assets without prior written permission.

Any unauthorized use may constitute a violation of applicable intellectual property laws and may result in legal action.

9. Educational Content and Third-Party Materials

The Platform may provide educational materials or permit third parties to provide educational content, resources, tools, integrations, or external links.

The Platform does not guarantee the accuracy, completeness, suitability, availability, or reliability of any third-party content and shall not be responsible for any opinions, advice, information, products, or services supplied by third parties.

References to third-party products, technologies, or services do not constitute an endorsement or recommendation unless expressly stated by the Platform.

10. Recording and Communications

Where the Application provides recording, messaging, communication, collaboration, or AI interaction features, Users acknowledge that such features may involve the collection, processing, storage, transmission, or analysis of communications and submitted content for the purpose of providing the requested functionality.

Users remain responsible for obtaining any approvals, permissions, or consents required by applicable law before recording, sharing, or transmitting communications involving other individuals.

The Platform may retain records where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, service improvement, or operational purposes, subject to applicable law.

11. Protection of Minor Users

The Platform seeks to provide a safe educational environment for Minor Users.

Users must not:

  • Exploit, harm, manipulate, threaten, or engage in inappropriate communication with Minor Users.
  • Request private, confidential, financial, or identifying information from Minor Users except where expressly required for the educational services provided by the Platform.
  • Use the Platform for purposes unrelated to legitimate educational activities.
  • Circumvent any safety, moderation, or monitoring measures implemented by the Platform.

The Platform may investigate suspected violations and take any action it considers appropriate, including restricting access, suspending accounts, removing content, or reporting matters to the relevant authorities where required or permitted by applicable law.

12. Disclaimer of Warranties

The Application is provided on an “as available” and “as is” basis.

To the fullest extent permitted under applicable law, the Platform makes no representation or warranty, whether express or implied, regarding the availability, reliability, accuracy, completeness, security, fitness for a particular purpose, or uninterrupted operation of the Application.

The Platform does not guarantee that:

  • The Application will always operate without interruption, delay, or errors.
  • The Application will meet every User’s expectations or individual requirements.
  • Educational content or Platform features will produce specific educational, academic, professional, or personal outcomes.
  • Any information generated through the Platform will always be accurate, complete, current, or free from errors.

Certain features of the Platform rely upon automated artificial intelligence systems provided by the Platform and trusted third-party providers to generate educational coaching, judging, assessments, recommendations, feedback, scoring, explanations, and other educational assistance.

Such AI-generated outputs are produced automatically using probabilistic models and may contain inaccuracies, omissions, inconsistencies, biased results, or other errors. AI-generated outputs are provided for educational and informational purposes only and should not be relied upon as professional, legal, medical, financial, academic, or other authoritative advice or as the sole basis for important decisions.

Users remain solely responsible for independently reviewing, evaluating, and verifying any AI-generated output before relying upon or acting upon it.

13. Limitation of Liability

To the maximum extent permitted under the applicable laws of the United Arab Emirates, the Platform, its owners, operators, directors, employees, affiliates, contractors, licensors, partners, and service providers shall not be liable for:

  • Any indirect, incidental, consequential, punitive, exemplary, or special damages.
  • Loss of data, educational opportunities, business opportunities, reputation, goodwill, revenue, or profits.
  • The conduct, actions, omissions, or communications of other Users.
  • User-generated Content.
  • AI-generated outputs or decisions made in reliance upon such outputs.
  • Unauthorized access, cyberattacks, service interruptions, or technical failures beyond the Platform’s reasonable control.
  • Any third-party products, services, technologies, or integrations used in connection with the Platform.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited under applicable law.

14. Indemnification

The User agrees to indemnify, defend, and hold harmless the Platform, its owners, operators, employees, directors, affiliates, contractors, licensors, representatives, and service providers against any claims, proceedings, damages, liabilities, judgments, penalties, losses, costs, or expenses (including reasonable legal fees) arising from or relating to:

  • Violation of these Terms.
  • Misuse of the Application.
  • Violation of applicable laws or regulations.
  • Infringement of any third-party rights, including intellectual property, privacy, or data protection rights.
  • Any Content uploaded, submitted, generated, shared, or transmitted by the User through the Platform.

15. Suspension and Termination

The Platform reserves the right, at its sole discretion and to the fullest extent permitted by applicable law, to suspend, restrict, disable, or terminate any User account or access to all or part of the Application where:

  • These Terms are violated.
  • The Application is misused.
  • The Platform reasonably believes that continued access may pose security, legal, operational, or reputational risks.
  • Fraudulent, abusive, unlawful, or suspicious activity is detected.
  • Such action is required to comply with applicable law, a court order, or a request from a competent governmental authority.

Where reasonably practicable, the Platform may notify the affected User of the suspension or termination.

Termination or suspension shall not affect any rights, remedies, obligations, or liabilities that accrued prior to the effective date of such suspension or termination.

The provisions of these Terms which by their nature are intended to survive termination, including but not limited to intellectual property, limitation of liability, indemnification, dispute resolution, governing law, and data processing provisions, shall remain in full force and effect following termination.

16. Force Majeure

The Platform shall not be liable for any failure, interruption, delay, or inability to perform its obligations resulting from events beyond its reasonable control, including but not limited to:

  • Natural disasters.
  • Epidemics or pandemics.
  • Government actions or regulatory changes.
  • War, terrorism, civil unrest, or labor disputes.
  • Internet or telecommunications failures.
  • Cyberattacks or malicious third-party activities.
  • Power failures.
  • Technical disruptions affecting service providers.
  • Failures of third-party infrastructure or cloud service providers.
  • Any other event beyond the reasonable control of the Platform.

Performance of the affected obligations shall be suspended for the duration of the force majeure event.

17. Amendments to These Terms

The Platform may modify, revise, or update these Terms from time to time to reflect changes in applicable law, technology, business operations, security practices, or the services offered.

Where material changes are made, the Platform will provide reasonable notice using appropriate communication methods, including through the Application, email, or other available means.

Continued access to or use of the Application after the effective date of the revised Terms constitutes acceptance of the updated Terms.

If the User does not agree to the revised Terms, the User must discontinue use of the Application.

18. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates and, where applicable, the laws and regulations of the Emirate of Abu Dhabi.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Application, or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Abu Dhabi, United Arab Emirates, unless mandatory applicable law provides otherwise.

Nothing in these Terms shall limit any mandatory consumer rights that cannot lawfully be excluded under applicable legislation.

19. Entire Agreement

These Terms, together with any additional policies, guidelines, rules, or notices published by the Platform from time to time, constitute the entire agreement between the User and the Platform regarding access to and use of the Application.

These Terms supersede all prior discussions, understandings, representations, communications, or agreements relating to the subject matter herein.

If any provision of these Terms is held by a court or competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.

No failure or delay by the Platform in exercising any right or remedy under these Terms shall constitute a waiver of such right or remedy.
